Project Briefs, Quotations & Engagement
Submission of a project brief or enquiry form through our website does not constitute a binding contract. A binding contract is established only when a formal quote or written proposal issued by Mosaic Studio is accepted by the Client and the initial milestone deposit is paid.
- Quote Validity: All formal quotes and proposals are valid for 30 (thirty) calendar days from the date of issue unless explicitly stated otherwise.
- Scope Agreement: Each project includes an itemized scope of deliverables detailing page counts, integrations, custom features, and asset requirements.
- Right of Refusal: Mosaic Studio reserves the right to decline any project brief that conflicts with ethical standards, infringes copyright, or violates South African law.
Payment Milestones, Retainers & Invoicing
All pricing is quoted in South African Rand (ZAR). Where applicable, Value-Added Tax (VAT at 15%) is calculated and shown on official tax invoices under VAT Registration No: 2114642180.
Project Deposit (50%)
A non-refundable deposit of 50% of the total project fee is required before engineering, design prototyping, or asset structuring commences.
Launch Milestone (50%)
The remaining 50% balance is payable upon staging completion and client sign-off, immediately prior to production domain cutover and public DNS launch.
Monthly Retainers & Subscriptions
Managed hosting, security monitoring, and SLA care plans are billed monthly in advance via automated PayFast tokenized debit or monthly EFT on the 1st of each month.
Official Payment Methods
Payments may be made via PayFast (Instant EFT, Credit/Debit Card, Capitec Pay, QR) or direct EFT to our First National Bank (FNB) account (Acc: 63221765580, Branch: 250655).
Revision Cycles & Scope Boundaries
To maintain engineering momentum and clear delivery timelines, projects include structured revision cycles:
- Launch Page Packages: Include 1 (one) consolidated revision round on the initial staging build.
- Business, Booking & Ecommerce Packages: Include 2 (two) consolidated revision rounds on the agreed staging build.
- Consolidated Feedback Definition: A revision round comprises a single comprehensive checklist of feedback provided by the client after reviewing the full staging link.
- Scope Variations & Creep: Requests for additional pages, new functional modules, post-approval structural redesigns, or third-party integrations not included in the original accepted proposal will be quoted separately as an add-on.
Client Responsibilities & Content Readiness
Timely delivery depends on active client collaboration. The Client agrees to:
- Provide necessary high-resolution brand assets, approved copy, product photography, pricing sheets, and service details in a timely manner.
- Ensure and warrant that all content, imagery, trademarks, and text supplied to Mosaic Studio are legally owned by the client or properly licensed. The Client indemnifies Mosaic Studio against any third-party copyright claims arising from client-supplied material.
- Provide required DNS, domain registrar, and third-party account delegation (e.g. payment gateways, email hosts) required to execute the deployment.
Intellectual Property & Code Ownership
We believe in complete transparency and full ownership for our clients:
Upon full settlement of all outstanding invoices, the Client owns full rights to the deployed website frontend, bespoke codebase, custom page designs, and client-specific media assets.
Mosaic Studio Reserved Rights: Mosaic Studio retains ownership of its underlying boilerplate codebases, proprietary component libraries, internal workflow tooling, design tokens, and pre-existing intellectual property. Third-party libraries, fonts, and open-source frameworks remain subject to their respective licenses (MIT, Apache, SIL OFL).
Post-Launch Warranty & Retainer SLA
- 14-Day Defect Warranty: Every custom website build includes 14 (fourteen) calendar days of complimentary post-launch bug fixing to resolve any functional anomalies or layout defects within the agreed original scope.
- Maintenance Retainers: After the warranty window, ongoing platform upgrades, Next.js framework maintenance, DNS management, security patches, and content additions are provided via our monthly retainer plans (Essential Cloud Hosting, Standard Care, Priority Growth SLA).
- Retainer Cancellation: Retainer subscriptions may be cancelled by either party with 30 (thirty) calendar days written notice or via the Client Portal.
Limitation of Liability & Disclaimers
To the maximum extent permitted by South African law (including the Consumer Protection Act 68 of 2008):
- Mosaic Studio shall not be liable for any indirect, consequential, punitive, or special damages, including lost profits or business disruption, resulting from third-party hosting outages, DNS propagation delays, upstream payment gateway downtime (e.g. PayFast/banks), or telecommunication failures.
- Our total aggregate liability for any claim arising out of or relating to a project shall not exceed the total fees actually paid by the Client to Mosaic Studio under that specific project contract.
- Mosaic Studio is not responsible for security vulnerabilities or site breakages resulting from unauthorized code modifications, plugin installations, or credential compromises made by the client or third parties after project handover.
Governing Law & Jurisdiction
These Terms of Service, all project proposals, quotes, and retainer agreements are governed exclusively by the laws of the Republic of South Africa. The parties irrevocably submit to the non-exclusive jurisdiction of the High Court of South Africa (Gauteng Division, Pretoria) for the adjudication of any legal dispute arising hereunder.
